Priority Power Management, Inc. and its subsidiaries and affiliates (“Priority Power”, “PPM”, “Company”, “we”, “our” or “us”) are committed to respecting and protecting your privacy and Personal Information. This Privacy Statement (the “Statement”) explains our practices with respect to the data we collect or learn about you regardless of the format (“Personal Information”).

This Statement applies to all individuals and entities who use Priority Power’s website (http://prioritypower.com) and the websites of our subsidiaries and affiliates (collectively the “Websites”), or use Priority Power’s services (the “Services”). Your use of the Websites or Services means that you accept, and agree to abide by, all the terms in this Privacy Statement, and, by continued use of the Websites or Services, you consent to the practices described herein.

This Statement does not apply to Priority Power employees, temporary employees, contractors, or employment candidates. Please refer to the Priority Power Employee Privacy Statement for more information on how we collect, process, share, and retain Personal Information for employment-related purposes.

Residents of certain states have privacy rights regarding their Personal Information. Please refer to the Your Rights and Choices section below for more information about these rights and how to exercise them.

What is Personal Information

Personal Information is any data element that identifies, relates to, describes, references, is capable of being associated with, or could reasonably be linked, directly or indirectly, with an individual. Examples of Personal Information include: a name, an email or address, a government identification number, location data, financial information, or an online identifier.

We may collect Personal Information about you from a variety of sources, as described below.

Information You Share with Us

We collect Personal Information when you provide it to us directly, such as when you:

  • Provide information to us online, by phone, email or in person;
  • Submit information in connection with our services;
  • Visit our premises;
  • Interact with us on our Websites or through social media.

Information Collected through a Service Provider

We may also collect your Personal Information through one of our trusted service providers, such as:

  • Companies that contract with us to provide the Services to you;
  • Companies contracted by us to provide the Services to you;
  • Companies contracted by us to conduct due diligence checks/screening activities, such as ‘know-your-customer’ (“KYC”) checks, or anti-money laundering (“AML”) checks.

Information Collected Automatically

We collect Personal Information automatically when you visit our Websites, such as your IP address. This information may be collected through the use of cookies.

Information Obtained from Third Parties

We may collect Personal Information from third-party sources, such as through your interactions with us on social media, and through public sources.

You have choices about certain information we collect. When you are asked to provide your Personal Information, you may decline to do so; but if you choose not to provide your Personal Information that is necessary for us to provide any aspect of our Services, you may not be able to use those Services.

To the extent that you provide us Personal Information related to another individual, you warrant that you have the right to provide such Personal Information, and you will be fully responsible for any liability arising for any collection or use of such Personal Information, including indemnifying Priority Power from any such liability.

Finally, we may collect data that is not identifiable to you or otherwise associated with you, such as aggregated or anonymized data. Information that is aggregated, anonymized, deidentified, or publicly available is not considered Personal Information and therefore not subject to this Statement.

Use of Personal Information

We may use your Personal Information for one or more of the following purposes:

  • To provide you with the Services, including deal structuring, execution support, evaluating potential transactions and entering into a commercial relationship with you;
  • To manage and improve our Services and notify you about changes to our Services;
  • To manage and improve our Websites;
  • To manage and make information available to third party service providers (e.g. utilities, suppliers or other energy service partners) and our affiliates;
  • To enable you to contact Priority Power, and to respond to you;
  • To verify the accuracy of information provided by third parties;
  • To engage in services we receive from our professional advisors, such as lawyers, accountants and consultants;
  • For direct marketing and promotional purposes. For example, we may use your Personal Information, such as your email address, to send you news and newsletters, event updates, business opportunities, or to otherwise contact you about information we think may interest you or your company;
  • To maintain records of investments, administer transactions, and manage payments and fees;
  • To support certain internal processes which protect property and interests, including fraud detection, internal auditing, supporting internal and external investigations, and conducting security assessments;
  • To enable Priority Power to comply with legal or regulatory obligations to which we are subject, such as KYC and AML checks, anti-bribery/corruption sanctions regulations;
  • To exercise or defend our rights, those of our affiliates, or those of a third party, including where we believe necessary to investigate, prevent or take action regarding suspected or actual illegal activities, fraud, situations involving potential threats to the safety of any person, or to otherwise enforce this Statement.

Disclosure of Personal Information

We may share Personal Information with the following third parties:

  • Among our affiliates and subsidiaries that share infrastructure, systems, and technology to process your Personal Information;
  • With contractors, subcontractors, and service providers to perform services on our behalf;
  • With private entities or public authorities, such as law enforcement, as required to comply with our legal obligations, comply with legal process, or protect our rights and interests or the rights and interests of others;

  • and With other third parties when you request us to do so or when we are required to do so by law.

We do not “sell” or “share” (as those terms are defined under certain privacy laws) Personal Information, nor have we done so in the preceding 12 months.

By using our Websites, you agree to the use of cookies as described below. Protection of Personal Information

All Priority Power personnel accessing Personal Information should comply with internal rules and processes in relation to the processing of Personal Information to protect and ensure the confidentiality of such information. We have also implemented technical and organizational measures designed to protect Personal Information against unauthorized, accidental or unlawful destruction, loss, alteration, misuse, disclosure or access. These security measures have been implemented taking into account the state of the art of the technology, their cost of implementation, the risks presented by the processing and the nature of the Personal Information.

Although we use security measures once we have received your Personal Information, the transmission of data over the internet (including by e-mail) is never completely secure. We endeavor to protect personal data, but we cannot guarantee the security of data transmitted to us or by us.

Retention of Personal Information

Priority Power retains Personal Information for the period necessary to fulfill the purposes for which it was collected and processed, in line with the obligations below.

  • Contractual Obligations: Personal Information will be retained for the duration of the contractual relationship with the individual (e.g., customer, employee, or business partner), and may be kept after the contract ends if required for post-contract obligations (e.g., warranties, support, invoicing).
  • Legal Obligations: Personal Information may be retained to comply with legal obligations. This includes where data must be retained for a specific period as mandated by law.
  • Legitimate Business Interests: Personal Information may be kept for a reasonable period after the termination of a contract or service to protect Priority Power’s legitimate business interests, such as resolving disputes, managing legal claims, or improving our business operations.
  • Security and Risk Management: Personal Information may also be retained to ensure ongoing security, auditing, and for the management of risks related to data breaches or other compliance obligations.

Your Rights and Choices

Depending on applicable privacy laws, you may be entitled to a variety of legal rights regarding the collection and processing of your Personal Information. Individual rights vary depending on the laws of your jurisdiction, but may include:

  • The right to know whether, for what purpose, and from what sources we collect and/or process your Personal Information;
  • The right to access your Personal Information we have collected or processed;
  • The right to correct your Personal Information, if inaccurate;
  • The right to know with whom we have shared your Personal Information, for what purpose, and what Personal Information we have shared;
  • The right to erasure under certain circumstances, which means the right to have us delete certain Personal Information we process about you;
  • The right to nominate an agent to act on your behalf with respect to your Personal Information, including to exercise any privacy rights applicable to you;
  • The right to non-discrimination, which means the right to freely exercise any rights applicable to you regarding your Personal Information without risk of being offered lesser goods, services, or higher prices in retaliation; and
  • The right to lodge a complaint with a regulator located in the jurisdiction of your residence, place of work, or where an alleged violation of law occurred.

You may exercise these rights, to the extent they apply to you, by contacting us as outlined in the How to Contact Us section below. Note, however, that we may request certain additional information (that may include Personal Information) to help us authenticate your identity, confirm your state of residency, and/or clarify or understand the scope of your requests. We will respond to a valid request within one month of receipt or within three months where a request is complex or challenging.

While we will make reasonable efforts to respond to your request, we reserve the right to impose certain restrictions or decline your request altogether as permitted by law, such as if the request is excessive, harassing, or if we cannot adequately authenticate your identity. If you attempt to exercise a right and we decline your request, you may have the right to appeal our decision depending on your state of residence. To initiate an appeal, you may respond to our communication stating your intent to appeal the decision, and we will provide further instructions.

In addition, you have choices about how we communicate with you and how we process certain Personal Information about you. You may opt-out of receiving marketing or other communications from us at any time by following the unsubscribe instructions provided in any email that you receive from us or by contacting us as outlined in the How to Contact Us section below. If you opt-out of receiving marketing emails from us or otherwise modify the nature or frequency of promotional communications, it may take up to thirty (30) business days for us to process your request and you may continue to receive promotional communications from us during that period. During this time, you may continue to receive administrative messages regarding our Services, or transactions you have entered into with us, even after opting-out of promotional communications.

Disclosure of Personal Information for Marketing

Section 1798.83 of the California Civil Code, known as the “Shine the Light” law, permits California residents to request from a business, with whom the resident has an established business relationship, certain information about the types of Personal Information shared with third parties during the immediately preceding calendar year for those third parties’ direct marketing purposes and the names and addresses of those third parties. Though you may make such a request, please know that we do not disclose your Personal Information to third parties for their own direct marketing purposes. You may make one (1) request each year free of charge by contacting us as outlined at the end of this Privacy Statement.

Collection of Personal Information from Minors

Our Websites and Services are not directed to children, nor do we knowingly collect Personal Information from children under the age of 16. If you are a parent or guardian of a child under the age of 16 and believe he or she has disclosed Personal Information to us and wish to access this Personal Information, please contact us using the information below. By using our Websites or Services, you represent that you are 16 years of age or older.

Changes to this Statement

Priority Power reserves the right to change the terms of this Statement at any time. If we do make changes, we will revise the “Last Updated” date at the top of the Statement. If any portion of this Statement is held to be invalid or unenforceable for any reason by a court or governmental authority of competent jurisdiction, then such portion will be deemed to be stricken and the remainder of this Statement shall continue in full force and effect.
